Introduction
This Cancellation Policy explains how a customer may request cancellation of a service, project or engagement with Logibyte Technologies and how cancellation affects work already performed, outstanding obligations and refund eligibility.
Cancellation and refund are not the same thing.
A cancellation ends or seeks to end future performance of an engagement. Whether any amount is refundable after cancellation is determined separately under our Refund Policy, project-specific terms and applicable law.
How to Request Cancellation
Cancellation requests should be submitted in writing to: Operation@LogibyteTechnologies.com
Where applicable, provide:
- Customer or Company Name;
- Project or Service Name;
- Invoice or Proposal Reference;
- Registered Email Address;
- Contact Number;
- Requested Cancellation Date;
- Reason for Cancellation; and
- Other Relevant Information.
A request is not necessarily effective merely because it has been sent. We may need to verify the request and identify the applicable project obligations.
Cancellation Before Work Begins
Where cancellation is requested before substantive project work begins, Logibyte Technologies will review:
- Whether Resources Have Already Been Reserved;
- Whether Planning or Consultation Has Begun;
- Whether Third-Party Costs Have Been Incurred;
- Whether Procurement Has Taken Place;
- Whether Technical Setup Has Begun; and
- The Applicable Proposal, SOW or Agreement.
Any refund eligibility will be determined under the Refund Policy.
Cancellation After Work Has Begun
Where cancellation occurs after work has started:
- Completed Work Remains Chargeable;
- Services Already Delivered Remain Chargeable;
- Work Performed Toward the Current Milestone May Remain Chargeable;
- Non-Recoverable Third-Party Costs Remain Chargeable;
- Approved Change Requests Remain Chargeable Where Applicable; and
- Any Remaining Refund Eligibility Will Be Assessed Under the Refund Policy.
Milestone-Based Projects
For milestone projects:
- Completed and Accepted Milestones Remain Payable;
- Active Milestone Work May Be Assessed According to Progress;
- Customer-Approved Third-Party Expenditure Remains Payable Where Applicable;
- Work Not Yet Commenced May Be Cancelled Subject to the Applicable Agreement; and
- Any Prepaid Amount for Undelivered Future Work Will Be Reviewed Under the Refund Policy.
Recurring, Maintenance and Support Services
For recurring services, maintenance plans or support arrangements:
- Cancellation Requirements May Be Subject to a Notice Period;
- Fees for Service Periods Already Delivered Remain Payable;
- Cancellation Generally Applies Prospectively;
- Outstanding Invoices Remain Payable; and
- Any Prepaid Future Period Will Be Handled According to the Applicable Agreement and Refund Policy.
Customer Delay or Inactivity
Where a project is materially delayed because the customer does not provide required:
- Information;
- Content;
- Credentials;
- Approvals;
- Feedback;
- Access; or
- Other Project Dependencies,
Logibyte Technologies may place the project on hold.
Extended inactivity may result in:
- Rescheduling;
- Resource Reallocation;
- Revised Timelines;
- Reactivation Charges Where Agreed;
- Project Closure; or
- Termination,
in accordance with the applicable agreement and law.
Customer inactivity does not automatically create refund eligibility.
Cancellation by Logibyte Technologies
Logibyte Technologies may suspend or terminate an engagement where reasonably necessary because of:
- Material Non-Payment;
- Material Contractual Breach;
- Fraud or Suspected Fraud;
- Abuse or Threatening Conduct;
- Security Concerns;
- Unlawful Instructions or Requirements;
- Misrepresentation;
- Failure to Provide Essential Project Dependencies;
- Repeated Failure to Cooperate With Required Project Processes; or
- Other Grounds Permitted Under the Applicable Agreement or Law.
Where reasonably possible, the customer will be informed of the reason.
Any refund eligibility following termination will be assessed in accordance with the Refund Policy, project-specific terms and applicable law.
Cancellation by Logibyte Technologies Without Customer Breach
Where Logibyte Technologies elects to discontinue an engagement for reasons not attributable to a material customer breach, we will review prepaid amounts relating to genuinely undelivered work.
Amounts relating to:
- Completed Work;
- Delivered Services;
- Accepted Milestones;
- Consumed Resources; and
- Non-Recoverable Third-Party Expenses
may be deducted where appropriate.
Any remaining eligible amount will be handled under the Refund Policy.
Effect of Cancellation
Cancellation does not automatically:
- Cancel Amounts Already Due;
- Reverse Completed Milestones;
- Transfer Intellectual Property Before Applicable Payment Requirements Are Satisfied;
- Cancel Third-Party Commitments Already Incurred; or
- Create Automatic Refund Entitlement.
Any obligations intended to survive termination under the applicable agreement may continue to apply.
Third-Party Services
Cancellation of a Logibyte Technologies engagement does not necessarily cancel independent third-party products or subscriptions.
Customers may remain responsible for:
- Domain Registrations;
- Hosting;
- Cloud Services;
- Software Licences;
- APIs;
- Third-Party Platforms;
- Subscription Services; or
- Other External Services
purchased or activated for the project.
Third-party cancellation and refund rules may be governed by the relevant provider.
Cancellation Review Timeline
Review Timeline
We aim to acknowledge a valid cancellation request within 2 Business Days.
Where additional verification or project reconciliation is required, we will provide an update after reviewing the engagement.
Any associated refund request will follow the timelines stated in the Refund Policy.
International Engagements
For international customers, cancellation may also involve:
- International Payment Processing;
- Foreign-Currency Conversion;
- International Banking Charges;
- Third-Party Provider Requirements; and
- Applicable Cross-Border Legal or Regulatory Requirements.
These factors may affect the timing or amount of any eligible refund.
Relationship With the Refund Policy
Cancellation does not itself determine refund eligibility.
For refund conditions, exclusions, review procedures and processing timelines, please read:
Statutory Rights
Nothing in this Cancellation Policy is intended to exclude or limit rights that cannot lawfully be excluded under applicable law.
Changes to This Cancellation Policy
Logibyte Technologies may update this policy to reflect changes in:
- Services;
- Commercial Practices;
- Project Processes;
- Payment Arrangements; or
- Applicable Law.
The latest version will be published on our website.
