Legal & Policy
Terms & Conditions
Clear terms for working with Logibyte Technologies — how engagements, payments, deliverables and responsibilities are governed.
Introduction
Welcome to Logibyte Technologies.
These Terms & Conditions (“Terms”) govern access to and use of the Logibyte Technologies website, services, proposals, projects and other business engagements.
By accessing our website, submitting an enquiry, accepting a proposal, placing an order, making a payment, executing a Statement of Work (“SOW”), or otherwise engaging Logibyte Technologies for services, you acknowledge that you have read and agreed to these Terms together with any applicable proposal, quotation, SOW, invoice or other written agreement.
Where a separately executed proposal, SOW or agreement contains project-specific terms, those project-specific terms will apply to that engagement and will prevail over these general Terms to the extent of any inconsistency.

Enquiries and Proposals
Submission of an enquiry does not create a contractual relationship.
Any proposal or quotation may be subject to its stated validity period, assumptions, exclusions and conditions.
A project will ordinarily be considered confirmed only after the required acceptance and/or initial payment has been received.
Project Scope
Services will be provided according to the mutually agreed scope. Requests outside the agreed scope may:
- Require a revised quotation;
- Constitute a change request;
- Result in additional charges; and/or
- Affect the delivery timeline.
Logibyte Technologies is not obligated to perform material work outside the agreed scope without commercial approval.
Client Responsibilities
Clients are responsible for providing accurate and timely information, content, credentials, approvals, feedback and other materials reasonably required for project delivery.
Delays caused by missing information, approvals, dependencies or client-side requirements may extend the project timeline.
Clients must ensure that materials supplied to Logibyte Technologies can lawfully be used for the project.
Payments
Projects may require an advance, milestone payments, recurring payments or full payment depending on the engagement.
The applicable payment structure will be communicated before or during the engagement through the proposal, quotation, invoice or SOW.
Unless expressly agreed otherwise, payments must be made by the due date specified on the relevant invoice or payment request.
Taxes
Prices may be exclusive of applicable taxes unless expressly stated otherwise.
GST and other applicable Indian taxes may be charged where required by law.
For international transactions, applicable taxes, banking charges, foreign-exchange costs or other statutory charges may apply depending on the transaction and jurisdiction.
International Customers
Logibyte Technologies may provide services to customers located outside India.
International engagements remain subject to applicable Indian laws and any applicable foreign-exchange, banking, payment-processing, sanctions, tax or other regulatory requirements.
Availability of a particular payment method or currency is not guaranteed.
Third-Party Services
Projects may depend on third-party services such as hosting providers, domain registrars, APIs, cloud platforms, payment providers, email providers, software licences or other external platforms.
Unless expressly included in our proposal, third-party fees are the client's responsibility.
Logibyte Technologies is not responsible for outages, policy changes, suspensions, pricing changes or failures attributable solely to independent third-party providers.
Project Delivery
Estimated delivery periods depend on project complexity, agreed scope, client cooperation, revisions, third-party dependencies and other relevant factors.
Unless specifically guaranteed in a signed agreement, an estimated delivery date is an estimate rather than an unconditional guarantee.
Acceptance
Where applicable, clients will be given an opportunity to review deliverables.
Clients should communicate material issues within the review or acceptance period specified in the proposal/SOW.
Requests that constitute new functionality or changes beyond the approved scope may be treated as change requests.
Intellectual Property
Each party retains ownership of intellectual property it owned before the engagement.
Subject to full payment and the applicable proposal/SOW, ownership or licence rights in final project-specific deliverables will be determined by the relevant project agreement.
Logibyte Technologies retains ownership of its pre-existing intellectual property, reusable components, methodologies, frameworks, know-how, development tools and general technical knowledge unless expressly transferred in writing.
Third-party intellectual property remains subject to the relevant third-party licence.
Confidentiality
Where confidential business, commercial or technical information is exchanged, both parties should take reasonable measures to protect it and use it only for the intended business relationship, subject to applicable law and any separate confidentiality agreement.
Suspension
Logibyte Technologies may suspend project work where:
- An undisputed payment remains overdue;
- Required information or access has not been supplied;
- Continued work may violate applicable law;
- There is suspected fraud or misuse;
- A material contractual obligation has been breached.
Where reasonably possible, the client will be informed of the reason.
Cancellation and Refunds
Cancellation and refund requests are governed by the separately published Cancellation Policy and Refund Policy, together with project-specific contractual terms.
Chargebacks and Payment Disputes
Payment Disputes
Clients should contact Operation@LogibyteTechnologies.com before initiating a payment dispute where reasonably possible, so that the matter can be investigated.
Where a chargeback or payment dispute occurs, Logibyte Technologies may provide the payment processor, acquiring bank, card network or other relevant institution with legitimate transaction and service-delivery records, including invoices, agreements, communications, approvals and delivery evidence, as permitted by applicable law.
Nothing in these Terms restricts rights available to a consumer under applicable law.
Limitation of Liability
To the extent permitted by applicable law, neither party will be liable for indirect, incidental, special or consequential loss merely arising from the engagement.
Any project-specific limitation of liability may be further defined in the applicable SOW or agreement.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
Force Majeure
Neither party will ordinarily be responsible for delay caused by events beyond its reasonable control, including natural disasters, governmental actions, major infrastructure failures, war, civil disturbance, widespread telecommunications failures or similar events, subject to applicable law.
Governing Law
These Terms are governed by the laws of India.
Subject to applicable law and any agreed dispute-resolution mechanism, disputes shall be subject to the jurisdiction specified in the applicable contract or, where none is specified, the competent courts in India having lawful jurisdiction over the matter.
Changes
Logibyte Technologies may update these Terms to reflect changes in services, business practices or applicable requirements.
The latest version will be published on the website with an updated effective/revision date.
